If the payment as referred to in paragraph 1 of this article is not, or is not fully, effected, the carrier is entitled to sell the goods (according to the procedure, if any, as provided for in the applicable national law) and to satisfy the amounts payable to it (including the costs of such recourse) from the proceeds of such sale. Any balance remaining from the proceeds of such sale shall be made available to the consignee.
إذا [قَبِل] [استلم] [أصبح] الشخص الذي ذكر في تفاصيل العقد أنه هو "الشاحن"، مع أنه ليس هو الشاحن حسب التعريف الوارد في المادة 1 (د ح) [حائزا لـ] مستند النقل أو سجل النقل الإلكتروني، فإنه حينئذ (أ) [تقع على عاتقه المسؤوليات والتبعات] المفروضة على الشاحن بمقتضى أحكام هذا الفصل وبمقتضى المادة 57 59، و(ب) يصبح مستحقا لحقوق الشاحن وحصاناته المنصوص عليها في هذا الفصل وفي الفصل 13 14.

In one case an arbitral tribunal, applying domestic law but also supporting its decision by reference to article 88 (3), found that an aggrieved seller who had justifiably resold the goods to a third party could deduct from sale proceeds the expenses it incurred in carrying out the sale, with the balance to be credited against the buyer's liability under the contract: the tribunal found that the seller had adequately documented and proved such costs, and the buyer had not substantiated its objections to the documentation.
في إحدى القضايا ، ارتأت هيئة التحكيم ، التي طبقت القوانين المحلية ودعمت قرارها بالرجوع الى المادة 88(3) ، أنه يجوز للبائع المتضرر الذي كان قد قام عن حق بإعادة بيع البضائع الى طرف ثالث أن يقتطع من حصيلة البيع النفقات التي تحملها لدى إجراء عملية البيع ، ويقيد الرصيد لحسابه لقاء المسؤولية التي يتحملها المشتري بمقتضى العقد: فرأت المحكمة أن البائع قد اثبت هذه التكاليف وعززها بالوثائق كما ينبغي وأن المشتري لم يعزز اعتراضه على الوثائق بالإثباتات.

In the same decision, furthermore, the court found that the breaching seller's claim under article 88 (3) for the balance of the sale proceeds was subject to set-off by the buyer's claim for damages under articles 45 and 74: although article 88 (3) expressly mentions only a selling party's right to deduct reasonable costs of preserving and selling the goods from the sale proceeds, the court suggested that the Convention contained a general principle within the meaning of article 7 (2) that permitted reciprocal claims arising under the Convention (here, the buyer's claims for damages and the seller's claim for the balance of the sale proceeds) to be offset; the court refused, however, to declare whether the buyer's right in this case to set off its damage claim against its liability for the balance of sale proceeds was derived directly from the Convention, or was based on applicable domestic law that led to the same result.
