In reaching its decision, the Panel took into account the fact that the liquidator was appointed by a majority of the shareholders of the claimant company (54 per cent of those present at the extraordinary general meeting at which the appointment of the liquidator was approved voted in favour of liquidation), and therefore the liquidation was in the nature of a voluntary liquidation as opposed to a compulsory liquidation by creditors of the claimant company.
وقد أخذ الفريق في اعتباره، عند التوصل إلى قراره، حقيقة هي أن مصفّي الشركة قد عينته أغلبية حملة أسهم شركة صاحب المطالبة (صوتت نسبة 54 في المائة من الحاضرين في الاجتماع العام الاستثنائي الذي ووفق فيه على تعيين مصفٍ، لصالح التصفية)، ولذلك فقد كانت التصفية تتسم بطابع التصفية الطوعية مقابل التصفية الجبرية من جانب دائني شركة صاحب المطالبة.
