The licensor could also make “lock-box arrangements” (part of the royalties owed to the licensee from sub-licensees would be paid in a separate account in the name of the licensor) or even obtain a security right in the royalties owed to the licensee to secure payment of the royalties owed to the licensor.
ويمكن للمرخِّص أيضا أن يتخذ "ترتيبات صندوق مقفل" (يُدفع جزء من الإتاوات التي يتعين على المرخَّص لهم من الباطن أداؤها للمرخَّص لـه في حساب منفصل باسم المرخِّص)، أو حتى أن يحصل على حق ضماني في الإتاوات المستحقة للمرخَّص لـه ضمانا لسداد الإتاوات المستحقة للمرخِّص.

However, it was stated that none of the above-mentioned ways offered adequate protection, since: (a) prohibitions or terminations of contracts were contrary to the economic interest of the parties and were not sufficient when a violation of a licence agreement had taken place with the resulting damage to the relevant intellectual property; (b) “lock-box” arrangements did not constitute an efficient way of addressing the problem nor were easy for parties to agree upon; (c) similarly, subordination agreements were not easy to obtain; and (d) the priority of a security right of the licensor as against another security right granted by the licensee in those royalty claims would be subject to the general first-to-file priority rules.
غير أنه قيل إن أيّا من السبل الآنفة الذكر لا يتيح حماية كافية، لأن: (أ) منع العقود أو إنهاءها يتعارضان مع المصالح الاقتصادية للطرفين ولا يكفيان عندما يحدث انتهاك لاتفاق الترخيص مع ما يترتّب على ذلك من ضرر للملكية الفكرية ذات الصلة؛ و(ب) ترتيبات "الصندوق المقفل" ليست طريقة فعّالة لمعالجة المشكلة ولا هي سهلة لكي يتفق عليها الطرفان؛ و(ج) إبرام الاتفاقات المتعلقة بإنزال المرتبة ليس أمرا سهلا كذلك؛ و(د) أولوية الحق الضماني للمرخِّص على حق ضماني آخر منحه المرخَّص لـه في مطالبات الإتاوات تلك ستخضع لقواعد الأولوية العامة القائمة على أسبقية التسجيل.
